Solid Oak Overlay Flooring?

I am hoping to lay a solid oak flooring in a room which has current flooring existing of a combination of concrete, chipboard and existing pine boards.

I believe I have two options:

1) Lay an adhesive underlay on the existing floor and lay boards on top. Do I need to use what seem to be referred to as overlay boards or can I use and solid oak board? What is the difference?

2) Rip up the existing boards, raise the joists above the concrete level and lay new boards.

Option 1 would obviously seem to be easier and less disruptive but wondered what the advantages of option 2 might be.

Would appreciate any help / advice on the above.
